The ground rules for accessing our website, using its content and contacting Hive Afriq Management.

Agreement and scope

These Terms of Use (“Terms”) govern your access to and use of the Hive Afriq Management website, its pages, publications, downloadable materials, forms and related digital features (together, the “Website”). “Hive Afriq Management”, “HAM”, “we”, “us” and “our” refer to Hive Afriq Management, based in Accra, Ghana.

By accessing or using the Website, you confirm that you have read, understood and agree to these Terms. If you use the Website on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Website.

Professional advisory engagements are governed by a separate signed engagement letter or services agreement. If these Terms conflict with a signed client agreement, the signed client agreement controls for that engagement.

Eligibility and authority

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Website. The Website is intended primarily for founders, executives, investors, professionals and organisations. It is not directed to children.

You are responsible for ensuring that your use of the Website is lawful in the country or territory from which you access it.

Information only—no professional advice

Website content is provided for general information and educational purposes. It does not constitute financial, investment, accounting, tax, legal, regulatory, valuation or other professional advice, and it is not a recommendation to enter into any transaction, raise or invest capital, acquire or dispose of an asset, or adopt a particular strategy.

Business circumstances differ. You should obtain advice tailored to your objectives, financial position, risks and applicable law before acting. No statement on the Website creates a fiduciary, advisory, accountant-client, lawyer-client or other professional relationship.

Past performance, case examples, market commentary and forward-looking statements are not guarantees of future results. Forecasts and market information are inherently uncertain.

Professional services and enquiries

Descriptions of Fractional CFO, capital raising, venture scouting, market intelligence and other services are indicative only. Availability, scope, deliverables, fees, timelines, responsibilities and reliance terms are agreed separately after appropriate acceptance, conflict, capability and client due-diligence checks.

Submitting an enquiry does not oblige us to accept an engagement, reserve capacity, maintain confidentiality beyond applicable law, or avoid acting for another person. Do not send trade secrets, passwords, banking credentials, special-category personal data or highly sensitive transaction materials through a general Website form. We will provide a suitable secure channel where needed.

Nothing on the Website is an offer to sell, solicitation of an offer to buy, or placement of any security or financial product.

Permitted use

You may access and use the Website for lawful internal business, research and personal informational purposes. You may print or download reasonable extracts for those purposes if you retain attribution and copyright notices and do not alter the meaning.

Any other reproduction, republication, commercial exploitation, data extraction or distribution requires our prior written permission.

Prohibited conduct

You must not:

  • use the Website unlawfully, fraudulently or in a manner that harms another person;
  • misrepresent your identity, affiliation or authority;
  • attempt to gain unauthorised access to systems, accounts, networks, source code or data;
  • introduce malware, harmful code, denial-of-service traffic or automated attacks;
  • scrape, crawl, index, train models on, harvest or systematically extract Website content or personal data without written permission, except where applicable law prevents restriction;
  • circumvent security, consent controls, rate limits or access restrictions;
  • use Website content to create a misleading endorsement, competing publication or service that passes our work off as your own;
  • infringe intellectual-property, privacy, confidentiality or other rights; or
  • interfere with the Website’s operation or another visitor’s use.

Intellectual property

The Website and its original content, brand elements, logo, service descriptions, frameworks, page designs, graphics, compilations and materials are owned by or licensed to Hive Afriq Management and protected by applicable copyright, trademark and other intellectual-property laws.

“Hive Afriq Management”, associated brand marks and the 3A&R Framework are identifiers of our business. No licence to use them is granted except the limited right to view the Website under these Terms. Third-party names and marks remain the property of their respective owners.

If you send feedback or suggestions, you grant us a worldwide, non-exclusive, royalty-free right to use that feedback without obligation, provided we do not publicly identify you without permission.

Third-party resources and links

The Website may link to or reference third-party sites, platforms, publications or services. Links are provided for convenience and context; they do not imply endorsement or control. We are not responsible for third-party availability, security, accuracy, terms, privacy practices or content.

You access third-party services at your own risk and should review their applicable terms and privacy notices.

Privacy and cookies

Our Privacy Policy explains how we handle personal data. Our Cookie Policy explains the technologies used on the Website and the choices available to you. Those policies form part of the Website’s legal framework.

Where optional technologies require consent, they remain disabled until you make an affirmative choice. You can revisit that choice through “Cookie settings” in the footer.

Availability, security and changes

We aim to keep the Website accurate, secure and available, but do not promise uninterrupted, error-free or vulnerability-free operation. We may modify, suspend, withdraw or restrict any Website feature without notice where reasonably necessary for maintenance, security, legal or business reasons.

You are responsible for your own device, connectivity, backups and security controls. Information may become outdated between updates; contact us before relying on time-sensitive information.

Disclaimers

To the maximum extent permitted by applicable law, the Website is provided “as is” and “as available”. We disclaim implied warranties and representations, including merchantability, fitness for a particular purpose, non-infringement, completeness and accuracy.

Nothing in these Terms excludes a warranty or obligation that cannot lawfully be excluded. Consumer protections that apply mandatorily remain unaffected.

Limitation of liability

To the maximum extent permitted by law, Hive Afriq Management and its partners, personnel and suppliers will not be liable for indirect, incidental, special, punitive or consequential loss; loss of profit, revenue, opportunity, goodwill, data or anticipated savings; or loss arising from reliance on Website information, third-party content, security incidents or inability to access the Website.

Where liability cannot be excluded, our aggregate liability arising solely from your use of the free Website will not exceed the greater of the amount you paid specifically to access the Website in the preceding twelve months and GHS 1,000. This cap does not apply where prohibited by law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence where such liability cannot be limited.

Responsibility for misuse

To the extent permitted by law, you will be responsible for loss, claims, costs and reasonable legal expenses arising from your unlawful use of the Website, infringement of another person’s rights, or material breach of these Terms. We will take reasonable steps to mitigate recoverable loss and will not seek recovery to the extent a claim results from our own wrongdoing.

Suspension and termination

We may restrict or terminate access where we reasonably believe you have breached these Terms, created security or legal risk, or misused the Website. Provisions that by their nature should survive— including intellectual property, disclaimers, liability, governing law and accrued rights—will continue after termination.

Governing law and disputes

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law principles. The courts of Ghana will have exclusive jurisdiction, except where mandatory consumer or data-protection law gives you the right to bring a claim elsewhere.

Before commencing proceedings, each party should give written notice of the dispute and make a good-faith effort for at least 30 days to resolve it through discussion. This does not prevent either party from seeking urgent injunctive relief or making a regulatory complaint.

Changes and contact

We may update these Terms to reflect changes in the Website, our services or applicable law. The “Last updated” date identifies the latest version. Material changes will be highlighted through the Website or another proportionate channel before they take effect where required.
